1. ACCEPTANCE OF TERMS AND REQUIREMENTS

WholesaleAssistant.co.uk provides its service to you, subject to the following Terms and Conditions (T & C’s), which may be updated by us from time to time without notice to you. Any changes to these T & C’s will be notified via the WholesaleAssistant.co.uk web site.

Subscription fees are based on term of usage and fees will vary dependent on the term of subscription and service level requested. Subscription terms and fees are noted on our website and we reserve the right to change the fee rates at our own discretion and with no express notice.

3. DESCRIPTION OF SERVICE
WholesaleAssistant.co.uk provides users with access to a quality database of on-line supplier information and resources. Unless explicitly stated otherwise, any new features that augment or enhance the current service shall be subject to the T & C’S. You understand and agree that the service is provided "AS-IS" and that WholesaleAssistant.co.uk assumes no responsibility for the timeliness, deletion, or non-delivery of any services, or failure to store any user communications or personalization settings. In order to use the service, you must obtain access to the World Wide Web, either directly or through devices that access web-based content, and pay any service fees associated with such access. In addition, you must provide all equipment necessary to make such connection to the World Wide Web, including a computer and modem or other access device. Please be aware that WholesaleAssistant.co.uk has created a service that requires you to be at least 18 years of age to use.

4. YOUR REGISTRATION OBLIGATIONS
In consideration of your use of the service, you agree to: (a) provide true, accurate, current and complete information about yourself as prompted by the New Membership registration form (such information being the "Registration Data") and (b) maintain and promptly update the Registration Data to keep it true, accurate, current and complete. If you provide any information that is untrue, inaccurate, not current or incomplete, or WholesaleAssistant.co.uk has reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, WholesaleAssistant.co.uk has the right to suspend or terminate your account and refuse any and all current or future use of the service (or any portion thereof).

• Claim a relationship with or to speak for any business, association, institution or other organization for which they are not authorised to claim such a relationship;
• Violate any operating rule, policy or guideline of their Internet access provider or online service.

6. PRIVACY POLICY
Registration Data and certain other information about you are subject to our Privacy Policy.

7. MEMBER ACCOUNT, PASSWORD AND SECURITY
You will be asked to provide your own choice of username and password during completion of the registration process. You are responsible for maintaining the confidentiality of the password and account, and are fully responsible for all activities that occur under your password or account. You agree to (a) immediately notify WholesaleAssistant.co.uk of any unauthorized use of your password or account or any other breach of security, and (b) you agree not to access the Service by any means other than through the interface that is provided by WholesaleAssistant.co.uk for use in accessing the Service. You agree not to reproduce, duplicate, copy, sell, resell or exploit for any commercial purposes, any portion of the Service, use of the Service, or access to the Service.

11. MODIFICATIONS TO SERVICE
WholesaleAssistant.co.uk reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice. You agree that WholesaleAssistant.co.uk shall not be liable to you or to any third party for any modification, suspension or discontinuance of the service or merchandise.

12. TERMINATION & SUBSCRIPTION CHARGES
You agree that WholesaleAssistant.co.uk, in its sole discretion, may terminate your password, account (or any part thereof) or use of the Service, and remove and discard any Content within the Service, for any reason, including, without limitation, for lack of use or if WholesaleAssistant.co.uk believes that you have violated or acted inconsistently with the letter or spirit of the T & C’S. WholesaleAssistant.co.uk may also in its sole discretion and at any time discontinue providing the Service, or any part thereof, with or without notice. You agree that any termination of your access to the Service under any provision of these T & C’S may be effected without prior notice, and acknowledge and agree that WholesaleAssistant.co.uk may immediately deactivate or delete your account and all related information and files in your account and/or bar any further access to such files or the Service. Further, you agree that WholesaleAssistant.co.uk shall not be liable to you or any third-party for any termination of your access to the Service. The only right with respect to dissatisfaction with any policy, guideline, or practice of WholesaleAssistant.co.uk, or any change in content, is for you to discontinue accessing the service. To request cancellation the member is required to email sales@WholesaleAssistant.co.uk. Please leave at least one working day for us to process and complete your cancellation request. If any details supplied are incorrect, your cancellation request may be delayed. Membership of the WholesaleAssistant.co.uk site is charged at the standard rate of £14.99 per month. From time to time WholesaleAssistant.co.uk may run special promotions offering weekly membership for a smaller fee, if you do not cancel your subscription once the week-long promotion has finished, you will automatically be re-billed by the standard monthly subscription charge until you terminate your membership.

13. COMMUNICATIONS AND DEALINGS WITH SUPPLIERS
Your correspondence or business dealings with, or participation in promotions of, suppliers found on this site or through the Service, including payment and delivery of related goods or services, and any other terms, conditions, warranties or representations associated with such dealings, are solely between you and such supplier. You agree that WholesaleAssistant.co.uk shall not be responsible or liable for any loss or damage of any sort incurred as the result of any such dealings or as the result of the presence of such suppliers on the Service.

14. LINKS
The Service may provide, or third parties may provide, links to other World Wide Web sites or resources. Because WholesaleAssistant.co.uk has no control over such sites and resources, you acknowledge and agree that WholesaleAssistant.co.uk is not responsible for the availability of such external sites or resources, and does not endorse and is not responsible or liable for any content, advertising, products, or other materials on or available from such sites or resources. You further acknowledge and agree that WholesaleAssistant.co.uk shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such site or resource.

You acknowledge and agree that the Service and any necessary software used in connection with the Service ("Software") contain proprietary and confidential information that is protected by applicable intellectual property and other laws. You further acknowledge and agree that Content contained in sponsor advertisements or information presented to you through the Service or advertisers is protected by copyrights, trademarks, service marks, patents or other proprietary rights and laws. Except as expressly authorised by WholesaleAssistant.co.uk or advertisers, you agree not to modify, rent, lease, loan, sell, distribute or create derivative works based on the Service , in whole or in part.

16. DISCLAIMER OF WARRANTIES
YOU EXPRESSLY UNDERSTAND AND AGREE THAT:

WholesaleAssistant.co.uk EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANDISE, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

(ii) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE,

YOU UNDERSTAND AND AGREE THAT WholesaleAssistant.co.uk SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES (EVEN IF WholesaleAssistant.co.uk HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), RESULTING FROM:

(i) THE USE OR THE INABILITY TO USE THE SERVICE;

(ii) THE COST OF PROCUREMENT OF SUBSTITUTE GOODS AND SERVICES RESULTING FROM ANY GOODS, DATA, INFORMATION OR SERVICES PURCHASED OR OBTAINED OR MESSAGES RECEIVED OR TRANSACTIONS ENTERED INTO THROUGH OR FROM THE SERVICE;

(iii) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA;

(iv) STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON THE SERVICE; OR

(v) ANY OTHER MATTER RELATING TO THE SERVICE. THIS LIMITATION OF LIABILITY STATEMENT APPLIES TO ADVERTISING AND LINKS PLACED ANYWHERE ON BOTH OUR PUBLIC SITE(www.WholesaleAssistant.co.uk) AND OUR MEMBERS SITE.

18. ADVERTISING
All advertising links submitted for placement on the member’s site will be subject to WholesaleAssistant.co.uk's approval. Any submissions made that fall outside the broad criteria set by WholesaleAssistant.co.uk may be rejected - and WholesaleAssistant.co.uk's decision will be final. In principle, the criteria for listings placed on the WholesaleAssistant.co.uk member’s site must be that the listing is related directly to a legitimate wholesale, trade or similar source/supplier. All such adverts can only be placed within an (appropriate) product group section listed under the DIRECTORY OF UK SOURCES or INTERNATIONAL SOURCES. No listings/adverts can be placed within the home page of the member’s site. WholesaleAssistant.co.uk will use its own discretion in repositioning listings if and where necessary. Confirmation of advert submissions and final placement will be made via email notice. The service may also provide notices of changes to the T & C’S or other matters.

19. Wholesale Deals – Price Guide and Availability
Please note the price and availability of stock, regarding the Wholesale Deals advertised online, are correct at time of inclusion.  All Wholesale Deals advertised are closely monitored and updated on a regular weekly basis.

20. NOTICE
Notices to you may be made via email. The Service may also provide notices of changes to the T & C’S or other matters by displaying notices or links to notices to you generally on the Service.
